General Terms and Conditions

Preamble
These General Terms and Conditions (GTC) govern the contractual relationship between:
The service provider: Ikasia, SAS with a share capital of €1,000 Registered office: 58 rue de Monceau, 75008 Paris, France SIRET: 100 763 788 00013 Paris Trade Register (RCS) Training activity registration number: [Pending approval]
And
The client: Any legal entity or individual wishing to benefit from Ikasia's training services.
Article 1 - Purpose
These GTC define the conditions under which Ikasia provides its professional training services.
Article 2 - Services offered
Ikasia offers:
- Inter-company training (public sessions)
- In-house training (tailored corporate training)
- Intensive technical workshops
- AI strategic consulting and coaching
Detailed programs are available on ikasia.ai or upon request.
Article 3 - Quotes and registration
3.1 Quotes
All training projects are subject to a personalized quote valid for 30 days.
3.2 Registration
Registration is confirmed upon receipt of:
- The signed quote marked "Accepted"
- The deposit (if applicable)
3.3 Confirmation
Ikasia confirms registration by email and sends a training agreement or service contract.
Article 4 - Pricing
4.1 Indicative pricing
Prices are listed in euros excluding VAT on quotes.
Indicative rate: From €1,500 excl. VAT/day/person (variable depending on the training, format, and group size).
4.2 Price revisions
Ikasia reserves the right to modify its prices at any time. Applicable prices are those in effect at the time of the order.
Article 5 - Invoicing and payment terms
5.1 Invoicing
An invoice is issued upon completion of the training or according to the agreed payment schedule.
5.2 Payment methods
Payment by:
- Bank transfer
- Cheque (payable to Ikasia)
- OPCO funding (subject to approval)
Payment terms: 30 days upon receipt of invoice (unless otherwise specified).
5.3 Late payment
In the event of late payment, penalties of 3 times the legal interest rate will be applied, along with a flat-rate recovery fee of €40 (pursuant to Articles L441-6 and D441-5 of the French Commercial Code).
Article 6 - Cancellation and rescheduling
6.1 Cancellation by the client
More than 30 days before the training: Cancellation free of charge (excluding any non-refundable deposit).
Between 30 and 15 days before: 30% of the training cost is retained.
Less than 15 days before: 100% of the training cost is retained.
Exception: In cases of force majeure or participant substitution, no fees apply.
6.2 Rescheduling by the client
One rescheduling is permitted free of charge, subject to availability, provided the request is made at least 15 days before the training.
6.3 Cancellation by Ikasia
Ikasia reserves the right to cancel a training session in cases of force majeure or insufficient participant numbers (for inter-company sessions).
In this case, the client will be notified at least 7 days in advance and may:
- Receive a full refund
- Transfer their registration to another session
Article 7 - OPCO funding
If the training is funded by an OPCO (skills operator):
- The client must submit their request at least 6 weeks before the training
- Ikasia will provide the necessary documents (program, agreement, quote, etc.)
- If the OPCO rejects the funding request, the client remains liable for the full training cost
Article 8 - Intellectual property
All training materials (slides, documents, code, etc.) remain the exclusive property of Ikasia.
The client agrees to:
- Not reproduce or distribute them without written authorization
- Use them solely for internal educational purposes
Article 9 - Liability
9.1 Ikasia's liability
Ikasia is committed to delivering training with the utmost care. However, Ikasia's liability is limited to direct and proven damages.
9.2 Client's liability
The client is responsible for:
- The attendance and punctuality of their participants
- Providing the necessary technical equipment (for in-house training)

Article 11 - Governing law and disputes
These GTC are governed by French law.
In the event of a dispute, both parties agree to seek an amicable resolution. Failing that, the dispute will be brought before the competent courts of Paris.
